Vendor Agreement
Last updated: October 14, 2026
The short version:
Listing on Vangture is free. You stay an independent business.
You're responsible for your food: safety, allergens, permits, taxes. You must honor the prices and deals you post.
Keep your listing accurate, and only go "open" or "live" when you really are serving.
This Vendor Agreement is between Vangture LLC, a Wisconsin limited liability company ("Vangture"), and the business or individual listing food on the Vangture Vendor app ("Vendor", "you"). It adds to the Terms of Service and Privacy Policy, which also apply to you.
1. Joining Vangture
- You must be at least 18 and authorized to act for the business you list.
- Every listing is reviewed and approved by Vangture before it appears to customers. We may decline, suspend or remove any listing at our discretion, for example for inaccurate information, safety concerns, customer complaints or breaking this Agreement.
- One account represents one business location or food truck.
2. Your responsibilities
- Food safety and legality: you're solely responsible for the food you sell, including preparation, storage, safety, quality, ingredients and allergen disclosure, and for following all food, health and labeling laws.
- Licenses and permits: you hold and maintain every license, permit and inspection your business needs (such as health department, mobile food establishment or seller's permits).
- Home sellers: you confirm that you sell only foods allowed under your state's and local cottage-food or home-kitchen rules, and follow their limits, labeling and registration requirements.
- Taxes: you're responsible for collecting and paying all taxes on your sales.
- Accurate listings: keep your name, address, hours, menu, prices, photos and open/closed status accurate. Only set "Open", or "Go live" for food trucks, when you are actually serving at that location.
- Prices and deals: honor the prices and deals shown when the customer ordered. Customers pay you directly at pickup.
- Orders: accept or decline orders promptly, prepare accepted orders on time, and use the cancel option with an honest reason (such as "sold out") when you can't fill one.
- Reviews: don't post reviews of your own business or competitors, and don't offer rewards for reviews.
3. Location sharing for food trucks
When you tap "Go live", you allow Vangture to share your device's location publicly on the customer map, updated while the app is open, until you close. Close or go offline when you stop serving.
4. Fees
Vangture currently charges vendors no fees. If we introduce fees or in-app payments, we'll give you at least 30 days' notice and the new terms will apply only after you accept them.
5. Your content
You keep ownership of your business name, menu, photos and descriptions. You give Vangture a non-exclusive, worldwide, royalty-free license to display, reproduce and promote that content on and in connection with the Service (including in marketing for Vangture). You confirm you have the rights to everything you upload.
6. Independent business
You are an independent business, not an employee, agent, partner or franchisee of Vangture. Vangture doesn't control how you prepare or sell food and isn't a party to your sales to customers.
7. Indemnity
You agree to defend, indemnify and hold harmless Vangture LLC and its members, managers and agents from any claims, losses or expenses (including reasonable attorneys' fees) arising from your food, your business, your listing or content, your sales to customers, or your breach of this Agreement or of law, including claims of illness, injury, allergic reaction or permit violations.
8. Insurance
We recommend you carry general liability and product liability insurance appropriate for your business. Vangture may require proof of insurance for some vendors.
9. Disclaimer and limitation of liability
The Service is provided "as is." Vangture does not guarantee any number of customers, orders or sales, or uninterrupted availability. To the fullest extent permitted by law, Vangture's total liability to you under this Agreement is limited to the greater of $50 or the fees you paid Vangture in the prior 12 months, and Vangture is not liable for lost profits or indirect damages.
10. Ending this Agreement
You can stop at any time by deleting your account in the Vangture Vendor app (Account, then Delete account), after finishing or cancelling any open orders. We may suspend or end your access as described in Section 1. Sections 2 (as to past sales), 5, 7 and 9 survive.
11. General
This Agreement is governed by Wisconsin law, with disputes heard in the state or federal courts in Wisconsin. We may update it with notice in the app or by email. Continuing to list after the effective date means you accept the update.
